Sell Side Advisory Process

Pre-Diligence

Timeframe: 1 - 2 weeks.


We analyze your financials, IP, and key metrics to identify any necessary improvements prior to market entry. This review generally takes at least one to two weeks, with the possibility of extension depending on the findings. We will also provide a free valuation estimate.  

Marketing Materials

Timeframe: 1 - 2 weeks.  


With your business prepared for market, we craft compelling marketing documents: the CIM, a thorough overview of your company; a 'no-name' teaser to generate initial interest; and a detailed financial package for potential investors. 

Identify Buyers

Timeframe: Done along side step #1 and #2. 


We utilize our resources to identify prospective acquirers. To maximize our reach, we also rely on your expert understanding of your market niche to identify strategic buyers that might otherwise be overlooked.

Marketing

Timeframe: 3 weeks


We initiate outreach to our target list, beginning with the anonymized teaser. Upon execution of a Non-Disclosure Agreement (NDA), we distribute the comprehensive CIM and financial package. This phase typically spans four weeks and requires minimal input from your team. 

LOI & Management Meetings

Timeframe: Concurrently with marketing. 


We manage buyer meetings and create competitive pressure for offers. After marketing, we coordinate meetings with interested buyers, potentially using an IOI phase to manage high demand. To expedite offers, we set an LOI deadline, driving competition and preventing delays from strategic buyers.

Due Diligence & Closing

Timeframe: 2 - 3 months


After accepting an offer, you'll enter an exclusivity period while the buyer conducts in-depth due diligence, often involving third-party audits. Deal structure will determine if you remain with the acquiring company or free to sail into the sunset. Once the deal closes, you get your money and we get ours.   



Buy Side Advisory Process

Initial Research Call

Timeframe: 1 - 2 calls over a week period.


We understand the buyer's specific acquisition criteria. This involves in-depth research and discussion to identify potential targets that align with the specified criteria. 

Proactive, Direct Outreach

Timeframe: 4 weeks - several months.  


High-volume, targeted outreach to potential sellers. Involves cold calling and emailing prospects. Goal is to maximize response rates and help sellers understand the rationale for partnership and sale. 

Screening

Timeframe: Initial calls that lasts from 15 minutes to over 1+ hour. 


With the buy side client we assess the seller's fit with buyer's criteria. Only qualified and relevant opportunities will be shared with the buyer. 

Facilitate Due Diligence

Timeframe: 2 - 3 months 


We help the buy side client on due diligence and provide support in negotiations. We can coordinate with deal team to help gather information and execution.  

Closing

Timeframe: Post Due Diligence (once complete) 


We get paid once the transaction is closed.
